Senior Expert, Legal Counsel (40001303)

Job Purpose

- Participate in the development of legal solutions for operations, products, services and other activities of Techcom Securities (TCBS), Investment Banking Division and its member units Investment Banking Division within its jurisdiction to ensure compliance with the provisions of law;
- Monitor, detect, report and handle legal risks arising from the operation of TCBS, the Investment Banking Division and its member units within its jurisdiction;
- Participate in improving the code of professional ethics of members in TCBS, Investment Banking Division and member units;
- Ensure that the activities of TCBS, Investment Banking Division and its member units comply with Techcombank's internal policies, regulations, processes and guidelines and relevant laws.

Key Accountabilities (1)

1. Participate in the development and implementation of legal solutions for operations, products, services and other activities of TCBS, Investment Banking Division and member units.
2. Monitor, detect, report and propose solutions to handle legal risks arising related to operations, products, services and other activities of TCBS, Investment Banking and Member units.
3. Participate in consulting, drafting contracts, documents and documents related to financial instruments, products, solutions and financial services, consulting TCBS, Investment Banking Division and Member units.
4. Participate in the development of the most appropriate plans and solutions to apply the law for the activities of TCBS, the Investment Banking Division and its member units;
5. Assist the Legal Director in performing Techcombank's transactions conducted through TCBS, the Investment Banking Division and/or its member units of the Investment Banking Division;

Key Accountabilities (2)

6. Directly participate in the negotiation of the structure, terms and conditions of the transaction with the professional departments.
7. Recognize legal risks of TCBS, Investment Banking Division and member units during operation, coordinating with relevant units to develop methods of measuring, assessing and minimizing risks legal risks.
8. Participate in the development and implementation of policies, regulations, processes, and guidelines on the profession of the functional array and related units.
9. In case of authorization, legal representative participates in projects of TCBS, Investment Banking Division and member units to comment, build, structure and develop new products ( legally).
10. Assign, monitor and review the work products of specialists to complete the work efficiently.

Key Accountabilities (3)

11. Answer legal questions, provide legal solutions for functional areas of TCBS, Investment Banking Division and member units (such as Issuance Consulting, Financial Solutions, etc.) Capital Management, Operations, Retail Sales and Distribution, Corporate Sales and Distribution, etc.) in relation to the products and services in which TCBS, the Banking Division invests and member units are providing within their jurisdiction.
12. Actively and closely support and coordinate with other functional areas of TCBS, Investment Banking Division, subsidiaries and related divisions of Techcombank to achieve the highest efficiency for the purpose. The overall objective of the Investment Banking segment – Techcombank.
13. Establish and maintain close relationships with relevant State management agencies to serve the activities of TCBS, Investment Banking Division and member units.
14. Perform other related tasks at the request of the leader

Success Profile - Qualification and Experiences

Degree/Professional:
- Having a university degree or higher, majoring in domestic or foreign law;
- Licensed to practice law.
Professional experience:
- At least 10 years' experience in legal work at leading law firms, of which at least 2 years in legal work in the fields of finance, investment, banking, capital markets and stock. For the case that has been performing legal work at Techcombank with a minimum working experience of 5 years or more, at least 3 years of legal work on capital markets is required.
Expertise:
- Understanding the provisions of specialized laws on finance, investment, business, banking;
- Understanding of products, financial structure and services related to Investment Banking segment;
- Knowledge of company policies and procedures.
