Officer, Legal Counsel (40000543)
Job Purpose
The job holder responsible for:
Legal advice and support on relevant legal issues to ensure compliance with the law and in line with the Bank's business activities, protect the Bank's interests according to its functions;
Key Accountabilities (1)
(*) Management of litigation activities:
1) Participating in legal proceedings to protect the interests of the bank and its employees in non-business parts, not related to litigation and disputes over credit contracts and security contracts;
2) Support legal experts in complex cases that require many people to participate in the resolution
3) Perform other tasks at the request of senior leaders to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.
(*) Legal management:
'1) General advice and support on legal provisions related to TCB's business and administration activities in order to effectively manage risks and lead business and administration activities;
2) Consulting to identify, provide solutions to handle legal risks, handle reputational and physical risks for TCB in corporate governance activities:
- Board of Directors, Supervisory Board, CEO, BOM, Internal Audit, organizational structure, charter, authorization, - Human resources, labor, salary, benefits, labor discipline
- Finance, tax, accounting,
- IT, technology systems, technology infrastructure, information security
- System operation: Asset management, seals, records, archives,
- Branch operation: organization, network operation, seals, representatives, licenses, vaults, ATMs, money transport, assets, etc.
- Marketing, advertising, signboard activities
- Contracts for centralized and non-centralized procurement of goods and outsourced services of the whole goods;
- Insurance for operational risks of TCB;
3) Participating in consulting, drafting and legally controlling contracts and transactions between TCB and domestic and foreign partners within the scope of functions and duties (for non-business areas mentioned in Section 1 , 2 above);
4) Collecting information and reporting to the Legal Advisory Director on the list of legal risks in banking activities;
5) Risk management of the entire legal consulting work: periodical inspection, professional exchange meetings with business legal departments; submit the legal advice to the Director for the final opinion in case there are different opinions between the business legal departments;
6) Advising and submitting to the top management for approval on the selection of a law firm to provide services to TCB;
7) Consulting and submitting to the leadership for approval of cooperation with notary offices; managing the cooperation with notary offices;
8) Perform other tasks at the request of leaders/Senior experts/CVPL experts to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.
Key Accountabilities (2)
(*) Project management:
1) Consulting, providing legal support, drafting and negotiating contracts and forms related to the general strategy of the whole company within the scope of the common project of the whole company,
2) Consulting, drafting contracts for procurement of capital construction investment, contracts for purchasing technology software in the field of IT, cooperation contracts between TCB and partners in general operations of the whole goods;
3) Consulting to identify, provide solutions to handle legal risks, handle reputational and physical risks for TCB in project legal consulting activities;
4) Summarize and report to the Project and IP Legal Consulting Director on the list of legal risks in banking activities in the activities for which he is responsible for consulting;
5) Perform other tasks at the request of the leader to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.
Key Accountabilities (3)
(*) Intellectual Property:
1) Consulting on identifying, providing solutions to handle legal risks, handling reputational and physical risks for TCB in the following areas: Intellectual property, industrial trademark protection of Techcombank, including participating in IP dispute resolution. ...
2) Cooperating, connecting and managing affiliated law firms specializing in trademark and intellectual property registration for TCB.
3) Training and communicating to staff on general legal issues related to intellectual property;
4) Perform other tasks at the request of senior leaders to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.
5. Participate in drafting and legally controlling contracts and transactions with domestic and foreign partners within the scope of functions and tasks
6. Participate in the pre-litigation stage for business transactions to protect the interests of the bank and its employees.
7. Strictly comply with the Bank's Labor Regulations.
8. Perform work in accordance with policies, regulations, processes, internal guidelines... and service quality commitments (SLAs).
9. Perform other related tasks at the request of the direct managing director

Success Profile - Qualification and Experiences
Degree: Preferably with a practicing law certificate
Experience: Minimum 3 years of legal work; in which at least 2 years of legal work in the financial and banking sector or 2 years of litigation work as a lawyer, or 2 years of working in the court industry as an examiner, secretary court
English: As requirement from TCB time to time
