Expert, Legal Counsel (50000312)
Job Purpose
'The job holder responsible for:
1) Legal advice and support on related legal issues to ensure compliance with the law and in line with the company's business activities, protect the company's interests according to its functions;
2) Orientation, guidance, control, legal training for the staff within the scope of expertise of the unit
3) Manage the legal risk portfolio to ensure legal risks are identified and periodically reported on status.
Key Accountabilities (1)
Responsible for independent consulting on the field of work he is in charge of, including the following areas:
(*) Project legal advice:
1) Consulting, providing legal support, drafting and negotiating contracts and forms related to the general strategy of the whole company within the scope of the common project of the whole company,
2) Consulting, drafting contracts for procurement of capital construction investment, contracts for purchasing technology software in the field of IT, cooperation contracts between company and partners in general operations of the whole goods;
3) Consulting to identify, provide solutions to handle legal risks, handle reputational and physical risks for company in project legal consulting activities;
4) Control the status, evaluate recommendations and report to the Head on the list of legal risks in company activities in the activities under his responsibility for consulting;
5) Perform other tasks at the request of the leader to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.
(*) Management of litigation activities:
1) Participating in legal proceedings to protect the interests of the company;
2) Representing the company in settling disputes with related Parties;
3) General management of reported data, case status/dispute case of the whole goods
4) Other duties as assigned.
5) Manage legal risk portfolio to ensure legal risks are identified and periodically reported on status in the litigation area
6) Perform other tasks at the request of senior leaders to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.
Key Accountabilities (2)
(*) Intellectual Property:
1) Consulting on identifying, providing solutions to handle legal risks, handling reputational and physical risks for company in the following areas: Intellectual property, industrial trademark protection of company, including participating in IP dispute resolution. ...
2) Join company's representative in resolving IP disputes
3) Cooperate, connect and manage affiliated law firms specializing in trademark and intellectual property registration for company.
4) Training and communicating to staff on general legal;
5) Perform other tasks at the request of senior leaders to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.
(*) Legal management:
1) General advice and support on legal provisions related to company's business and administration activities in order to effectively manage risks and lead business and administration activities ;
2) Consulting to identify, provide solutions to handle legal risks, handle reputational and physical risks for company in corporate governance activities:
- Board of Directors, Supervisory Board, CEO, BOM, Internal Audit, organizational structure, charter, authorization, - Human resources, labor, salary, benefits, labor discipline
- Finance, tax, accounting,
- IT, technology systems, technology infrastructure, information security
- System operation: Asset management, seals, records, archives,
- Branch operation: organization, network operation, seals, representatives, licenses, etc.
- Marketing, advertising, signboard activities
- Contracts for centralized and non-centralized procurement of goods and outsourced services of the whole goods;
- Insurance for operational risks of company;
3) Participating in consulting, drafting and legally controlling contracts and transactions between company and domestic and foreign partners within the scope of functions and duties (for non-business areas mentioned in Section 1 , 2 above);
4) Control the status, evaluate recommendations and report to managers consultancy on the list of legal risks in company activities;
5) Risk management of the entire legal consulting work: periodical inspection, professional exchange meetings with business legal departments; submit the legal advice to the manager for the final opinion in case there are different opinions between the business legal departments;
6) Advising and submitting to the top management for approval on the selection of a law firm to provide services to company;
7) Consulting and submitting to the leadership for approval of cooperation with notary offices; managing the cooperation with notary offices;
8) Training and communicating to staff on general legal issues;
9) Perform other tasks at the request of the leader to ensure full implementation of responsibilities and objectives in the performance of assigned tasks.
Key Accountabilities (3)
(*) Consulting for business units
1. Directly advise and give independent legal opinions to business units and related units on the impact of legal regulations related to retail financial product and service solutions in order to ensure the objective of conducting business activities in accordance with the law, protecting the company's legitimate rights and interests to the fullest extent.
2. Review legal policies and the implementation of legal policies to ensure compliance with regulations on company activities and laws.
3. Consulting on external legal documents, informing policy makers of business blocks to update when there is a change in legal regulations, ensuring that the regulations of the company are applied. used in accordance with the instructions and regulations of the law and the communication/notification.
4. Participate in consulting/drafting legal documents at the request of the Board of Directors and business units;
5. Participate in consulting, drafting and legally controlling contracts and transactions with domestic and foreign partners within the scope of functions and tasks
6. Participate in the pre-litigation stage for business transactions to protect the interests of the company and its employees.
7. Conduct training of relevant departments on legal issues
8. Strictly comply with the company's Labor Regulations.
9. Perform work in accordance with policies, regulations, processes, internal guidelines... and service quality commitments (SLAs).

Success Profile - Qualification and Experiences
Experience: -Minimum 8 years of legal work; in which at least 6 years of legal work in the fields of finance, banking, corporate governance or 4 years of being assigned to be in charge of in-depth legal work at leading law firms (specializing in finance). main, bank, enterprise),
- For officials who have graduated from a Master's degree or higher in law in a foreign country: a minimum of 6 years of legal work is required; in which at least 4 years of legal work in the field of finance and banking or 3 years of being assigned to be in charge of specialized legal fields at leading law firms.
